Software License Agreement

You CANNOT:

  • ✗Redistribute or resell the software
  • ✗Share your license with others
  • ✗Reverse engineer or modify the code
  • ✗Remove copyright notices

1. Grant of License

TranscribeFlow ("Licensor") grants you ("Licensee") a non-exclusive, non-transferable, perpetual license to use the TranscribeFlow software ("Software") subject to the following terms:

  • Personal License: One license permits use on devices owned or controlled by a single individual.
  • Commercial Use: You may use the Software for commercial purposes in your professional work.
  • Perpetual: This license does not expire and includes all future updates at no additional cost.

2. Restrictions

You agree NOT to:

  • Copy, modify, or create derivative works of the Software
  • Distribute, sublicense, rent, lease, or lend the Software
  • Reverse engineer, decompile, or disassemble the Software
  • Remove or alter any proprietary notices or labels
  • Use the Software to develop competing products
  • Transfer your license to another party without written consent

3. Third-Party Components

The Software integrates with third-party services via the BYOK (Bring Your Own Key) model:

  • Deepgram API: Speech-to-text transcription service. Subject to Deepgram's terms at deepgram.com/terms
  • Google Gemini API: AI post-processing service. Subject to Google's terms at ai.google.dev/terms

You are responsible for complying with all third-party terms and any associated costs beyond free tier limits.

4. Intellectual Property

The Software and all copies thereof are proprietary to TranscribeFlow and title thereto remains exclusively with TranscribeFlow. All rights in the Software not specifically granted in this Agreement are reserved to TranscribeFlow. The Software is protected by copyright and other intellectual property laws.

5. Updates and Maintenance

Your license includes all updates, patches, and new versions released during the lifetime of the product. We are not obligated to provide updates but strive to continuously improve the Software. Major version upgrades (if any) may be subject to separate terms.

6. Termination

This license is effective until terminated. It will terminate automatically if:

  • You fail to comply with any term of this Agreement
  • You attempt to circumvent any technical protection measures
  • You request a refund within the 30-day guarantee period

Upon termination, you must destroy all copies of the Software in your possession.

7. Disclaimer & Limitation of Liability

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TRANSCRIBEFLOW DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL TRANSCRIBEFLOW BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. MAXIMUM LIABILITY SHALL NOT EXCEED THE AMOUNT PAID FOR THE SOFTWARE LICENSE.

8. Governing Law

This Agreement shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising under this Agreement shall be resolved through binding arbitration.
